Terms of Service
These Terms govern your access to and use of the Toronto Wedding Guide websites, apps, and related services (the "Services") provided by [Legal Name of Operator] ("TWG", "we", "us"). By using the Services, you agree to these Terms and our Privacy Policy.
1. Eligibility & accounts
- You must be at least the age of majority in your jurisdiction and able to form a binding contract.
- You are responsible for your account credentials and for all activity under your account.
- Provide accurate information and keep it up to date. We may suspend or terminate accounts that are inaccurate, incomplete, or violate these Terms.
2. Vendors, couples, and memberships
- Vendor accounts may include business pages, listings, media, pricing ranges, calendars, messaging, and lead management.
- Couple accounts may include profiles, planning tools, messaging, and content uploads.
3. User content & license
You retain ownership of content you submit (e.g., text, reviews, photos, videos, logos). You grant TWG a worldwide, non‑exclusive, royalty‑free license to host, store, reproduce, modify (for formatting), publicly display, perform, and distribute your content in connection with operating and improving the Services. You represent you have all rights needed and that your content does not infringe others’ rights.
4. Reviews and ratings
Reviews must be truthful, non‑misleading, and based on real experiences. We may remove, edit, or decline to display reviews that we believe violate these Terms or law.
5. Prohibited conduct
- Violating laws, infringing intellectual property or privacy rights, or engaging in fraudulent, deceptive, or abusive behavior.
- Uploading malicious code, scraping, or attempting to access non‑public areas.
- Posting illegal content, hate speech, explicit content, or images without necessary permissions.
- Impersonating others or misrepresenting your affiliation.
6. Bookings, payments, and refunds
If payments, subscriptions, or bookings are offered, they may be processed by third‑party providers. Those providers’ terms and policies apply. Except where stated otherwise, all fees are non‑refundable. Vendors are solely responsible for their own pricing, availability, and service delivery.
7. Intellectual property
The Services—including the TWG name, logos, trademarks, design, and software—are owned by us or our licensors and protected by law. Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Services.
8. Third‑party services
The Services may integrate with third‑party services (e.g., Google Maps, Google/Outlook/iCloud calendars, Clerk, payment processors). Your use of those services is subject to their terms and privacy policies. We are not responsible for third‑party services.
9. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement. We do not guarantee that the Services will be uninterrupted, secure, or error‑free, or that any content will be accurate or complete.
10. Limitation of liability
To the maximum extent permitted by law, TWG and its affiliates, officers, employees, agents, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to your use of the Services, even if advised of the possibility of such damages. Our total liability for any claims relating to the Services will not exceed the greater of (a) the amounts you paid to us in the 12 months preceding the claim, or (b) CAD $100.
11. Indemnification
You agree to defend, indemnify, and hold harmless TWG and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with your use of the Services or your violation of these Terms.
12. Termination
We may suspend or terminate your access at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. You may stop using the Services at any time. Sections that by their nature should survive termination will survive.
13. Governing law & dispute resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict‑of‑laws principles. The parties submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, except that we may seek injunctive relief in any court of competent jurisdiction.
14. Changes to the Services and Terms
We may modify the Services and these Terms from time to time. If changes are material, we will provide notice (e.g., by email or in‑app). By continuing to use the Services after changes become effective, you accept the revised Terms.
15. Miscellaneous
- Entire agreement: These Terms and any referenced policies constitute the entire agreement between you and us.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- No waiver: Our failure to enforce any right is not a waiver of that right.
- Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Notices: We may provide notices via email, in‑app messages, or by posting on the Services.
